The provision of the new Turkish Commercial Code (no.6102), contrarily to the
Turkish Commercial Code no. 6762, regulates that, all assets of the commercial
enterprise are transferred with one single transaction. Before the amendement,
Article 179 of the Turkish Code of Obligations stipulates the complete succession
principle only for debts of the enterprise. With the new regulation this principle of
complete succession is recognized for the transfer of the enterprise’s assets. In this
article, these amendements and the controversial issues will be adressed.
